Terms of Service

Introduction

Aalto Learning Experience ("Alex") is a learning platform and e-learning environment of Aalto University Executive Education Ltd ("Aalto EE") that provides you ("Learner", "User" or "You") with the requested e-learning services (the "Service", "Learning Service").

By using Alex, you agree to be bound by these terms and conditions (the "Terms of Use"), as amended and placed on Alex by Aalto EE from time to time. By registering as a User and accepting these Terms of Use, Aalto EE grants You a limited, non-exclusive, non-transferable, and revocable right to the Service.

In order to provide you with the service, Aalto EE processes your personal data and utilizes some of its other systems and uses subcontractors to process this data. Aalto EE is the data controller and complies with the EU's General Data Protection Regulation to protect your privacy. In this regard, the following policies and terms apply:

Alex's Privacy Policy applies to all users of the Service,
Aalto EE's Service Portal, which is an integral part of Alex and is responsible for providing secure registration, authentication, and login methods, managing your personal profile, and accessing your running, completed, and abandoned Learning Services at Aalto EE: Terms of Use,Privacy Policy
Aalto EE Program Management Application, used by Aalto EE staff to organize Learning Services and to store your ongoing, completed, and failed studies, as well as for invoicing, payment processing, smart certification certificates and Aalto EE's key application: Aalto EE Privacy Policy.

Service

As a learner, you can use Alex to access a wide range of educational resources and training materials. The platform is designed to enhance your learning and experience. It hosts courses/programs in lifewide learning and continuing education from Aalto EE and Aalto University.

Alex and the Service can be used for studying, for example:

by participating in self-directed online courses,
participating in online courses that complement blended teaching solutions,
by using the pedagogical material available in Alex to complete studies and/or to complete assignments published as part of courses,
participating in programmes (courses, trainings, exams) and/or academic discussions between other participants, the programme team and/or faculty;
viewing information and training material from planned sessions and storing them for their own purposes;
Viewing (but not downloading or saving) video content.

Alex and the Service offer or will provide You with the following:

an online store function that allows you to purchase and/or enable the Learning Service;
Smart recommendations for next steps; these may include, for example, other Learning Services or other learning resources.

Aalto EE reserves the right, at its own discretion, to improve, repair and change Alex and the Service. During maintenance breaks or at other times, the Service may not be available. Aalto EE may also decide to terminate the Service or part thereof by notifying You in advance, unless it is unreasonable for Aalto EE in the circumstances.

You agree that Aalto EE has no obligation to store, maintain, or provide You with a copy of any content or information provided by You or third parties, unless required by applicable law or as described in Alex's Privacy Policy.

Getting the Service

Primarily, the delivery of the Service and the commencement of production are agreed upon in the purchase agreement between the buyer and Aalto EE.

If you have purchased the right to use the Service from Aalto EE's online store, you will receive the number of access codes ordered by email to the email address you provided at the time of purchase. The applicable terms of delivery will be provided to You in connection with Your purchase in Aalto University Executive Education Ltd's online store, and you can also read them here: Terms of Delivery.

Principles of proper use

By registering as a User in Aalto EE's Service Portal, which is used to log in to Alex and many other Aalto EE digital services, you agree to provide truthful and complete information to Aalto EE. Providing misleading or false information is prohibited. In addition, you agree to keep your personal data up to date through Aalto EE's Service Portal.

Your account is personal. You agree to choose a strong and secure password, to keep your password secure and confidential, and to use your account for personal use only. If your account is misused, you agree to notify Aalto EE. You are responsible for ensuring that You have proper access to an appropriate high-speed Internet connection required for the normal use of the Service.

In addition, you agree not to directly or indirectly (i) license, sell, rent, assign, or otherwise transfer any Alex Content; (ii) without altering or permitting any third party to alter any part of the Alex Content; or (iii) without disclosing any material that, by its nature, is clearly intended for distribution to Users only.

By submitting content, information or feedback to Alex ("Material"), you agree that you own the Material and that you have the right to publish it. You agree to obtain the necessary consent, permission or license to submit any Material as required by law.

Aalto EE reserves the right to monitor or remove any Material that you or other Users have sent to or through Alex. Due to any inability to monitor or control any Material posted to or through Alex or privately posted through Alex, we will not be liable for any Material that you submit to or through Alex.

Any use or reliance on any material posted through Alex is at your own risk. We are not responsible for the truthfulness, completeness, accuracy, or reliability of any material posted by you or other users through Alex, or for the opinions expressed therein. Under no circumstances will we be liable for the Material or for any damage or loss of any kind resulting from the use of any Material posted or made available through Alex.

You agree not to use the Service for any unauthorized or illegal purpose. You must not violate any laws in your jurisdiction. You assume sole responsibility for all of your activities while using the Service, including any content you submit, transmit, post, or share on the Service. You agree not to upload, post or transmit anything:

(i) content that infringes or violates the rights of any third party, including privacy, intellectual property and proprietary rights;
(ii) obscene, threatening or malicious text, images, graphics or materials;
(iii) unsolicited or unauthorized advertising, promotional materials, "junk mail," "chain letters," "pyramid schemes," or any other form of solicitation or unauthorized or unethical marketing, or
(iv) viruses, worms, malware, or other code that damages or impairs the Service.

Your account is valid until further notice. Upon closure of your account, Aalto EE reserves the right to delete any Material you have submitted to Alex. Traces or copies of the information or content you submit to Alex may be left as they are reposted or otherwise stored by other Alex users.

Third-Party Content

We may have links to third-party websites or resources that are not owned or controlled by Aalto EE. You understand and agree that Aalto EE is not responsible for their availability, accuracy, or content, unless required by applicable law. Third-party links, sites, and services have their own legal terms and privacy policies. When you click on these links or use any third-party sites or services, you do so at your own risk. Therefore, we recommend that you familiarize yourself with their legal terms and privacy policies before using any third-party links, sites, or applications.

Intellectual property

All data, content, and information found in the Service, including, but not limited to, user information, usernames and passwords, images, drawings, graphics, photographs, audio clips, video clips, text, illustrations, software, or HTML code (collectively, the "Content") is protected by the privacy, confidentiality, trademarks, copyrights, and/or other intellectual property rights or licenses of Aalto EE or its affiliates, or belongs to third parties licensed such materials and content for use in the Service.

You understand and agree that your use of the Service does not grant any rights or licenses to the use of such intellectual property rights. In particular, you agree to:

not to copy the data of other users and not to create registers of such data,
republish any teaching materials (e.g., lecture materials, handouts, assignments, instructions and articles, as well as descriptions of practical cases protected by copyright and/or other intellectual property rights or licenses) outside of the Service;
without capturing, downloading, or storing videos, even for your own use.

You understand and agree that You have no right, title, or interest in the Service or any material provided to You through the Service, whether by Aalto EE or its licensors, including without limitation documentation, stories, articles, texts, images, videos, and other multimedia, and that all such rights, titles, and interests remain solely with Aalto EE and its licensors, as applicable. In addition, Aalto EE has a royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual license to use or incorporate into the Service any improvement requests, recommendations, improvements, or other feedback you provide that is directly or indirectly related to the Service. Aalto EE reserves all rights not expressly granted herein. The Aalto EE products and services referred to herein are either trademarks or registered trademarks of Aalto EE. Other company and product names referenced herein may be trademarks of their respective owners. You may not remove or alter any copyright, trademark, or other notices or notices of the proprietary rights of Aalto EE or its licensors.

You do not grant Aalto EE any right, title, or interest in and to your Content under this Agreement, except for Aalto EE's provision of this Service. You hereby grant Aalto EE a limited, revocable, non-exclusive, royalty-free, fully paid-up, non-transferable, non-sublicensable, worldwide license to use your Submission during the term of this Agreement solely for the following purposes: (a) to provide the Service in accordance with this Agreement, including collecting, processing, storing, creating, uploading, and displaying such material; (b) Technical management of the Service; and (c) Data Aggregation. "Data aggregation" means the process by which Alex's usage data is collected and reproduced in an anonymized form so that Aalto EE or its licensors can view and publish aggregated statistics about the users of the Service. Aalto EE discloses such information only in anonymized form and in the aggregate. For the avoidance of doubt, the combination of Information does not include any information provided by You that could be considered "personally identifiable information" and You cannot be directly or indirectly identified from it.

Security

We will use reasonable efforts to ensure the security of the Service. However, we cannot guarantee that unauthorized third parties will not be able to circumvent our security measures or that other users of the Service will not illegally copy or use any material you submit or post on the Service, including contact information. We ask You to immediately notify us of any unauthorized use of Your user account or material or any other security issues detected in the Service.

Service guarantee and liability

You agree that the Service is provided on an "AS IS" and "AS AVAILABLE" basis. Aalto EE makes no warranties or conditions, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement.

Aalto EE shall not be liable for any responsibility or liability for: (i) the availability, timeliness, completeness, accuracy, security, or reliability of the Service or its content; (ii) any harm to your computer system or mobile device, loss of data or other harm caused by your access to or use of the Service or its content; or (iii) deletion of data or failure to store or transmit content or communications. We cannot guarantee that your use of the Service will be error-free or that the Service will meet your requirements.

You agree to indemnify and hold Aalto EE harmless from any and all third-party claims or liabilities arising out of either (i) your breach of this Agreement, including these Terms of Use; (ii) any infringement or violation of intellectual property or other third party rights by You, or (iii) any misuse of Your User Account as a result of Your failure to take reasonable care to protect Your username or password.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AALTO EE AND/OR THE PERSONS OR ENTITIES WITH WHOM AALTO EE WORKS AND/OR WHO WORK FOR AALTO EE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, DATA, OPPORTUNITIES, REPUTATION, PROFITS OR REVENUE, BUSINESS INTERRUPTION, INCONVENIENCE OR INABILITY TO USE ALEX, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AALTO EE. IN SOME JURISDICTIONS, SOME LIMITATIONS OF LIABILITY MAY NOT APPLY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU. IN THIS CASE, AALTO EE'S LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY LAW.

The limitations of liability do not apply to intentional acts, fraud or gross negligence.

Validity and termination

You may terminate your user account if you no longer wish to use the Service. If you want to terminate your account, you can contact Alex Support (info@alex.fi). After termination, You will no longer have access to the Service and Your User Account will be deleted.

Terminating your user account in Alex does not delete your user account in Aalto EE's Service Portal, which you use to register and log in to Aalto EE's digital services. You can read the Aalto EE Service Portal Terms of Use and Privacy Policy, and your profile has a self-service function for deleting your Aalto EE Service Portal user account.

Terminating your user account in Alex does not delete your customer data and the study data maintained by Aalto EE about you. Your customer information includes your contact information, purchase history, and communication history. The study register contains, among other things, information on courses that you have attended, started, completed or that have been rejected, and possibly also partial attainments. Aalto EE's Privacy Statement describes how Aalto EE processes personal data. If you wish to exercise your rights as a data subject, please contact dpo@aaltoee.fi.

Aalto EE reserves the right to terminate and close your account(s) if Aalto EE deems that the Terms of Use have been violated. You agree that following the deletion of your User Account, Aalto EE shall have no obligation to retain, maintain, or provide copies of any information or content provided by You or others, except as required by applicable law or as stated in Aalto EE's Privacy Policy.

Applicable Laws and Dispute Resolution

This Agreement shall be governed by the laws of Finland, excluding its conflict of laws rules, which may result in the application of the laws of a third country. However, to the extent that mandatory Finnish laws require the application of the laws of a third country for your protection, these laws shall apply.

If the dispute cannot be resolved through negotiations, any disputes, disagreements or claims arising out of or in connection with this Agreement or the use of the Service shall be resolved primarily in the District Court of Helsinki.
